01About the Site

The Site gives general information about HandOver’s data collection, teleoperation, annotation and evaluation services. Nothing on it is an offer to enter into a contract. Figures such as volumes, formats, synchronization tolerances, timelines and evaluation batch durations describe typical engagements and are not guarantees.

Specifications, prices and service levels become binding only when they are set out in a written agreement signed by both parties, such as a master services agreement, statement of work or pilot agreement. If that agreement conflicts with these Terms, the agreement prevails.

02Inquiries and evaluation batches

When you contact us or submit the scoping form, please give accurate information and share only information you are entitled to share. Please do not send confidential information, or personal information about other people, through the form. If we need confidential details to scope your project, we will sign a mutual NDA first.

Sending a request does not commit either of us to anything. An evaluation batch is carried out only on terms agreed in writing before work begins and, unless those terms say otherwise, does not oblige you to order production work.

03Samples

Sample episodes, files and other materials we provide on request (“Samples”) may be used only to evaluate our services internally. Unless we agree otherwise in writing, you may not incorporate Samples into production models, products or datasets, publish or redistribute them, or use them for any other commercial purpose.

Samples may include recordings of people who consented to specific uses. You must not attempt to identify any individual from a Sample, and you must delete Samples when we ask you to. Samples are provided “as is”.

04Intellectual property

The Site and its content — including text, graphics, images, and the HandOver and KP Digital names and logos — belong to KP Digital or its licensors and are protected by intellectual property laws. You may view the Site, share links to it, and save or print pages for your own reference. You may not copy, modify, distribute, sell or create derivative works from the content, or use our names or logos, without our prior written permission.

Some parts of the Site use open-source software and fonts, which are licensed under their own terms. If you send us ideas or feedback, we may use them without any obligation to you.

05Acceptable use

When using the Site, you agree not to:

• break any law or infringe anyone’s rights;
• attempt to gain unauthorized access to the Site or related systems, or probe, scan or test their vulnerabilities;
• interfere with the Site’s operation, for example by overloading it or introducing malicious code;
• use bots, scrapers or other automated tools to collect content from the Site, except search engines indexing it for public search results;
• send false, misleading or spam submissions, or impersonate any person or organization.

If you believe you have found a security vulnerability, please report it to data@handover.ai rather than testing it further. We appreciate responsible disclosure.

06Third-party services

The Site links to and relies on third-party websites and services, such as the network that delivers our fonts. We are not responsible for their content or practices, and your use of them is governed by their own terms.

07Disclaimers

We work to keep the Site accurate and available, but it is provided “as is” and “as available”. To the extent permitted by law, we make no warranties of any kind about the Site or its content, express or implied, including warranties of accuracy, fitness for a particular purpose and non-infringement. We do not guarantee that the Site will be uninterrupted or error-free, and we may change its content at any time without notice.

08Limitation of liability

To the extent permitted by law, KP Digital is not liable for any indirect, incidental, special or consequential damages, or for any loss of profits, revenue, data or business opportunity, arising from your use of, or inability to use, the Site. Nothing in these Terms limits liability for our intentional misconduct or gross negligence, or any other liability that cannot be limited by law. Services we provide under an agreement are governed by that agreement’s liability terms.

09Privacy

Our Privacy Policy explains how we collect, use and protect personal information through the Site.

10Changes

We may change, suspend or discontinue the Site, or any part of it, at any time. We may also update these Terms by posting a new version on this page with a new “Last updated” date. The updated Terms apply from the date they are posted; if you continue to use the Site after that, you accept them.

11Governing law

These Terms are governed by the laws of the Republic of Korea. Any dispute arising out of or relating to these Terms or the Site will be submitted to the exclusive jurisdiction of the Seoul Central District Court as the court of first instance, except where mandatory law gives you the right to bring proceedings elsewhere. Before starting formal proceedings, please contact us — most concerns can be resolved quickly and informally.

12General

If any part of these Terms is found unenforceable, the rest remains in effect. If we do not enforce a provision, we have not waived it. You may not transfer your rights under these Terms without our consent. These Terms are the entire agreement between you and us about your use of the Site; they do not replace any separate agreement for our services.
